Cultural Assessments
Companies often get into trouble because they did not know of a particular law or regulation that affects their operation. Many times, there in nobody in the organization who has the task of keeping up to date with the many statutory and regulatory requirements that the company faces; or the company is so focused on the day-to-day business, that ethics and compliance has not become a priority. Suspension and Debarment ConsultationsIf you are being pursued, either criminally or civilly, or both, by the Department of Justice, or even if you are just being investigated by agents of a Federal Agency, you run the risk of being Suspended or Proposed for Debarment at any time. Waiting until “legal” matters are settled can be risky.
We will work with you and your legal counsel to discuss the best strategy to best position your company to avoid debarment before any Agency action takes place. A Notice of Proposed Debarment sounds as though you will have a chance to fight the action before being “blackballed”. But in actuality, you are on the blacklist as of the date of the “Notice”. Voluntary MonitoringA decision to undergo voluntary monitoring often is made because of some investigative or judicial action which is either anticipated or underway. The reason for this voluntary undertaking, whether for just a one-time assessment or for continued monitoring, is to prove to agency officials that the company is "presently responsible" and is therefore eligible to receive government funds or other assistance.
Your choice of a monitor should be based upon a number of factors including the credibility of the monitor with agency officials, the availability of the monitor to provide personal service, the ability of the monitor to benchmark the company against industry best practices and cost. Independent Mandatory Monitoring ServicesWhen faced with a suspension or debarment from government contracting, Tunlaw can assist you and your legal counsel in getting the action removed or obtaining an Administrative Compliance Agreement (ACA) with the Federal agency seeking to debar you. The purpose of the ACA is to avoid these sanctions which could mean financial harm and/or dissolution of your company if implemented. Oftentimes, the Agency will require you to hire an Independent Monitor to oversee your efforts and report to the Agency on your progress.
If necessary, we can provide independent monitoring services that may be required under the terms of a settlement with an Agency Debarment Official, or required by a deferred or non-prosecution agreement (DPA/NPA) with the Department of Justice, or other settlement/consent arrangement. We can help you regain any lost reputation for business honesty and integrity by assuring that your ethics and compliance policies and procedures are not only complete and acceptable to government agencies, but also, that they meet the specific needs of your company and are not overly burdensome. In addition to overall ethics and compliance policies and procedures, the ACA will normally require targeted monitoring of the technical area of noncompliance. Chief Compliance and Ethics Officer (CCEO) ServicesOne of the hallmarks of an effective ethics and compliance program is the designation of a specific senior individual within the organization delegated day-to-day operational responsibility for the compliance and ethics program. They are know as the Chief Ethics and Compliance Officer (CECO). Often that person is either missing or is an individual that is triple-hatted with multiple responsibilities and may have little or no experience in ethics and compliance programs. If appointed, they may not have the proper training as a Certified Compliance and Ethics Professional (CCEP).
Whether this CECO is required by an Administrative Compliance Agreement (ACA) or whether the company decides to take this step as a best practice, Tunlaw can assist by providing initial and/or continued guidance to a nominated company CECO over a negotiated period of time. We can consult on developmental and substantive issues faced by this individual as they learn how to establish and operate a corporate ethics and compliance program.
